SELLER / VENDOR POLICY — REMEDIUS MOBILE HEALTH CO. LIMITED

1. Introduction
This Seller/Vendor Policy (“Policy”) governs the terms under which third-party sellers, vendors, and suppliers (“Vendors”) provide products and services through Remedius Mobile Health Co. Limited (“Remedius”). By registering as a Vendor or listing products through our platform, you agree to comply with this Policy, in addition to our Terms of Use, Privacy Policy, and any other applicable agreements.
2. Vendor Eligibility

Vendors must hold
valid business registration and any licenses required under Ugandan law.

Vendors must
comply with all applicable health, safety, and pharmaceutical regulations.
· Vendors must undergo verification and approval by Remedius before listing products or services.
3. Product and Service Standards
·
All products
listed must be genuine, safe, and compliant with applicable laws and standards.
·
Expired,
counterfeit, or unregistered products are strictly prohibited.
·
Vendors must
provide accurate descriptions, prices, and stock availability.
· Services must meet professional and ethical standards.
4. Pricing and Payments
·
Vendors set their
own prices, subject to compliance with applicable laws.
·
Remedius may
charge service or commission fees, communicated in advance.
· Payments to Vendors will be processed on a regular schedule, less applicable commissions, fees, and taxes.
5. Order Fulfillment and Delivery
·
Vendors are
responsible for timely processing and fulfillment of customer orders.
·
Where Vendors do
not provide delivery, Remedius or its partners may arrange shipping.
· Vendors must notify Remedius immediately of any delays or stock issues.
6. Returns and Refunds
·
Vendors must
comply with Remedius’s Returns & Exchanges Policy.
·
Refunds or
exchanges must be honored promptly for eligible cases.
· Vendors may be liable for costs associated with defective or non-compliant products.
7. Compliance and Conduct
·
Vendors must
comply with all applicable laws, including data protection and consumer
protection laws.
·
Vendors must not
engage in fraudulent, misleading, or unethical practices.
· Vendors must treat customers and Remedius staff with professionalism and respect.
8. Suspension and Termination
Remedius reserves the right to suspend or terminate a Vendor’s access to the platform for violations of this Policy, legal non-compliance, reputational risks, or customer complaints.
9. Indemnification
Vendors agree to indemnify and hold Remedius harmless from any claims, damages, or liabilities arising out of their products, services, or actions.
10. Amendments
Remedius may revise this Policy from time to time. Continued participation by Vendors after updates constitutes acceptance of the revised Policy.
